1. Introduction and Acceptance

Welcome to Ummi. These Terms of Service ("Terms") govern your access to and use of the Ummi website, platform, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Ummi is a platform that connects home-based food providers ("Cooks") with customers ("Users"). We provide a listing and discovery service only. We do not prepare, sell, or deliver food ourselves.

2. Platform Role and Limitations

Ummi is a platform, not a food provider. We provide technology that enables Cooks to create profile pages and be discovered by potential customers. Ummi does not:

• Prepare, cook, handle, or sell any food products
• Employ, supervise, or control any Cooks listed on the platform
• Verify the accuracy, authenticity, or validity of credentials, permits, licenses, or certifications displayed by Cooks
• Inspect kitchens, food preparation areas, or food safety practices
• Process payments or handle transactions between Cooks and Users
• Guarantee the quality, safety, or legality of any food sold by Cooks

3. Cook Responsibilities and Representations

By creating a Cook profile on Ummi, you represent and warrant that:

• Legal Compliance: You are solely responsible for understanding and complying with all applicable federal, state, and local laws, regulations, ordinances, and requirements related to home-based food operations, including but not limited to cottage food laws, home kitchen permits, food handler certifications, and health department regulations.
• Credential Accuracy: All permits, licenses, certifications, food handler cards, and other credentials you display or claim to possess are authentic, valid, current, and accurately represented.
• Food Safety: You maintain proper food safety practices and hygiene standards as required by applicable law and industry best practices.
• Truthful Information: All information you provide on your profile, including business name, location, menu items, ingredients, allergen information, and photos, is accurate and not misleading.
• Insurance and Liability: You maintain any insurance required by law and accept full liability for your food preparation and sales activities.

5. User Responsibilities

By using Ummi to discover and potentially purchase food from Cooks, you acknowledge and agree that:

• Independent Decision: Your decision to purchase food from any Cook is made at your own discretion and risk. You should conduct your own due diligence.
• No Ummi Endorsement: The presence of a Cook on Ummi does not constitute an endorsement, recommendation, or verification by Ummi.
• Allergens and Dietary Needs: You are responsible for communicating any allergies, dietary restrictions, or health concerns directly to Cooks before purchasing.
• Direct Transactions: Any transactions, payments, or agreements are made directly between you and the Cook. Ummi is not a party to such transactions.

7. Indemnification

For Cooks: You agree to indemnify, defend, and hold harmless Ummi and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your food preparation, handling, or sales activities
• Any false, fraudulent, or invalid credentials you display
• Your violation of any applicable laws or regulations
• Any claims by customers or government authorities related to your food business

For Users: You agree to indemnify Ummi from any claims arising from your use of the Service or your interactions with Cooks.

8. Reviews and User Content

Users may submit reviews and ratings of Cooks. By submitting content, you agree that:

• Your reviews are based on genuine experiences and are truthful
• You will not submit false, defamatory, or malicious reviews
• Ummi may remove reviews that violate these Terms or are reported as inappropriate
• Ummi is not responsible for the content of user reviews

9. Account Termination

Ummi reserves the right to suspend or terminate any account at any time, for any reason, including but not limited to: violation of these Terms, fraudulent activity, submission of false credentials, complaints from users, or legal requirements. Cooks may delete their profiles at any time through their dashboard.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. UMMI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for violations of intellectual property rights.

12. Modifications to Terms

Ummi reserves the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Service with a new "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
